1. Agreement to Terms

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“you,” “your,” or “Client”) and Wealthy Entrepreneur, LLC (“Wealthy Entrepreneur,” “we,” “us,” or “our”), governing your access to and use of the website WealthyEntrepreneur.com (the “Site”) and all related services, products, and content offered by Wealthy Entrepreneur (collectively, the “Services”).

By accessing or using our Site or Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Site or Services.

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Site. Your continued use of the Site or Services after any changes constitutes your acceptance of the revised Terms.

2. Eligibility

You must be at least 18 years of age to use our Site or purchase our Services. By using our Site or Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement.

Our Services are available to individuals and businesses worldwide. You are responsible for ensuring that your use of our Services complies with all applicable laws and regulations in your jurisdiction.

3. Description of Services

Wealthy Entrepreneur provides business consulting, marketing strategy, AI implementation, and related services for medical professionals, practice owners, and service-based entrepreneurs.

3.1 Your Intelligence Brief ($4,000 USD)

A strategic intelligence report with SWOT analysis, market research, and 90-day marketing roadmap. Includes:

Strategic Intelligence Report (SWOT analysis, market research, competitive landscape)
Voice of the Market Analysis
90-Day Marketing Roadmap with Probability Assessment
Strategic Intelligence Assistant (AI assistant for 12 months)
45-Minute Strategy Call (recording included)
2 Roadmap Updates (within 12 months)

3.2 Your Intelligence Machine ($10,500 USD)

The complete system for practices and businesses. Includes:

Your Centralized Brain (voice extraction for you, your patients/clients, your team, and your mission)
Your Brain Team (50+ AI Specialists customized to your business)
Your 12-Month Playbook with Probability Assessment
120-Day Brain Tune-Ups (quarterly updates)
Story Capture & Intelligence Pipeline (testimonial capture system)
Wealthy Collective Mastermind (first year included)
Ongoing Intelligence (newsletters and reports)
License for up to 25 users
Founding Member Bonus (Momentum KickStart program, books, and course licenses, subject to availability)

3.3 Additional Services

Additional services beyond the core products may be offered and are subject to separate agreements and pricing. These include but are not limited to website development, AEO services, sales optimization, consulting, and exit planning.

4. Purchases and Payment

4.1 Pricing

All prices are listed in U.S. dollars unless otherwise specified. Prices are subject to change without notice, but changes will not affect orders already placed and confirmed.

Current pricing is “Founding Member” pricing and will increase. We do not honor previous pricing once changes are made.

4.2 Payment Terms

Your Intelligence Brief ($4,000 USD):

Deposit of $500 USD due upon checkout
Remaining balance of $3,500 USD automatically charged 3 days after deposit
Total investment: $4,000 USD

Your Intelligence Machine ($10,500 USD):

Deposit of $500 USD due upon checkout
Remaining balance of $10,000 USD automatically charged 3 days after deposit
Total investment: $10,500 USD

Payment is processed securely through Stripe. By providing your payment information, you authorize us to charge the applicable fees to your designated payment method.

4.3 Upgrade Path

If you purchase Your Intelligence Brief and later wish to upgrade to Your Intelligence Machine:

Upgrade within 12 months of your Intelligence Brief deposit
Receive a $2,500 credit toward the Intelligence Machine
Pay $8,000 instead of $10,500

The upgrade credit expires 12 months from your Intelligence Brief deposit date.

4.4 Renewal (Intelligence Machine Only)

After your first year, continued access to Your Brain Team, 120-Day Brain Tune-Ups, Story Capture, Wealthy Collective, and Ongoing Intelligence is available at:

Founding Members: $5,000/year (rate locked for life)
Standard Rate: $12,800/year

Renewal is optional. You will not be automatically charged for Year 2 without your consent. We will notify you before your first year ends to discuss renewal options.

4.5 Taxes

You are responsible for any applicable taxes, duties, or fees imposed by your jurisdiction in connection with your purchase of our Services.

5. Refund Policy

5.1 Before Full Payment (Days 1-3)

If you wish to cancel before the remaining balance is charged (within 3 days of your deposit), contact us at info@WealthyEntrepreneur.com. Your $500 deposit will be refunded.

5.2 Your Intelligence Brief Guarantee

At the end of your strategy call, if you don’t believe your Intelligence Brief and 90-Day Roadmap were worth the investment, tell us. You will receive a full refund of your payment.

What you keep: The Strategic Intelligence Report and all documents delivered.

What you forfeit: The 2 roadmap updates and access to your Strategic Intelligence Assistant.

To request a refund, notify us during or immediately after your strategy call by emailing info@WealthyEntrepreneur.com.

5.3 Your Intelligence Machine Guarantee

At the end of your delivery call, if you don’t believe your Intelligence Machine was worth the investment, tell us. You will receive a full refund of your payment.

What you keep: Your 12-Month Playbook and all documents delivered.

What you forfeit: Access to Your Brain Team (50+ AI Specialists) and Wealthy Collective membership.

To request a refund, notify us during or immediately after your delivery call by emailing info@WealthyEntrepreneur.com.

5.4 Important Notes on Refunds

Refund requests must be made at the designated time (end of strategy call for Brief, end of delivery call for Machine)
Refunds are not available after you have accepted the deliverables and the call has concluded
Refunds are processed within 5-10 business days to your original payment method
We use Stripe for payment processing; refunds appear on your statement as a credit from Wealthy Entrepreneur

5.5 After Acceptance

Once you have accepted your deliverables and the strategy call (Brief) or delivery call (Machine) has concluded without a refund request, all sales are final. No refunds will be issued.

5.6 Additional Services

Refund policies for additional services beyond the core products will be specified at the time of purchase.

6. Intellectual Property

6.1 Our Intellectual Property

All content on our Site, including but not limited to text, graphics, logos, images, videos, software, and the compilation thereof, is the property of Wealthy Entrepreneur or its licensors and is protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works from, publicly display, or exploit any of our content without our prior written consent.

6.2 Your Deliverables

You own your deliverables. All materials created specifically for you as part of our Services—including your Centralized Brain documents, AI configurations, 12-Month Playbook, Strategic Intelligence Report, and related materials—are your property.

You may use your deliverables for any lawful business purpose, including sharing them with other vendors, team members, or service providers. If you discontinue working with us, your deliverables go with you.

We retain the right to use anonymized, aggregated data and general methodologies developed through our work for the purpose of improving our Services.

6.3 AI Specialists and Tools

Your Brain Team (Intelligence Machine): The 50+ AI Specialists are built on your Google Workspace and are configured specifically for your business. Access to the AI Specialists requires an active subscription after Year 1. You may export your Centralized Brain documents at any time.

Strategic Intelligence Assistant (Intelligence Brief): Access to the AI assistant is included for 12 months from delivery. After 12 months, access expires unless you upgrade to the Intelligence Machine.

6.4 Testimonials and Case Studies

With your permission, we may use your name, likeness, testimonials, and general results as part of our marketing materials. We will always request your consent before publishing any specific testimonial or case study featuring your business.

7. Client Responsibilities

You agree to:

Provide accurate, complete, and timely information as requested during the fulfillment process
Respond to reasonable requests for input, feedback, or approvals within a timely manner (typically 3-5 business days)
Use our Services and deliverables only for lawful purposes
Not misrepresent or resell our Services as your own
Ensure your team members participate as needed (for Intelligence Machine)

Intelligence Brief: You answer 15 questions. We do everything else.

Intelligence Machine: You and your team answer questions across several categories (approximately 2-4 hours total). We do 97% of the work.

Delays caused by your failure to provide requested information or approvals may extend the delivery timeline. We are not responsible for delays caused by circumstances outside our control.

7.1 Google Workspace Requirement (Intelligence Machine Only)

Your Intelligence Machine’s Brain Team requires a Google Workspace account ($8/month or higher, paid directly to Google). You are responsible for:

Maintaining an active Google Workspace account
Ensuring your Google Workspace is properly configured (we will assist with verification)
Compliance with Google’s terms of service
HIPAA compliance configuration if you are a medical practice handling Protected Health Information (PHI)

8. AI Tools and Technology

8.1 Nature of AI Tools

Our Services include AI-powered tools and assistants. You acknowledge that:

AI outputs are generated based on the information you provide and our extraction process
AI tools are assistants to support your team, not replacements for human judgment
You are responsible for reviewing and approving any AI-generated content before use
AI recommendations should be evaluated in the context of your specific situation
AI technology evolves and outputs may vary over time

8.2 Prohibited Uses

You agree not to use our AI tools to:

Generate content that is illegal, harmful, defamatory, or infringes on third-party rights
Attempt to extract, reverse-engineer, or replicate our proprietary methodologies
Input false or misleading information
Violate any applicable laws or regulations
Circumvent any security measures or access controls

8.3 Data and AI Training

The information you provide for your Centralized Brain is used solely to build and maintain your specific AI tools. We do not use your proprietary business information to train general AI models or share it with other clients.

9. Disclaimer of Warranties

OUR SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

Our Site or Services will be uninterrupted, error-free, or secure
Any defects will be corrected
Our Site or servers are free of viruses or harmful components
The results obtained from using our Services will meet your expectations
AI-generated outputs will be accurate, complete, or suitable for any particular purpose

10. Earnings and Results Disclaimer

We make no guarantees regarding income, revenue, patient flow, client acquisition, or any other business results.

Any examples of results, testimonials, case studies, or probability assessments shared on our Site or in our marketing materials are illustrative only and are not guarantees of future performance. Individual results vary based on numerous factors including but not limited to:

Your market and competition
Your pricing and services
Your implementation and effort
Your team and resources
Economic conditions
Factors outside anyone’s control

Probability assessments included in our products are estimates based on our analysis, not guarantees of outcomes.

By purchasing our Services, you acknowledge that you are not relying on any guarantee of specific results.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WEALTHY ENTREPRENEUR AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF OUR SITE OR SERVICES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF OUR SERVICES EXCEED THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Wealthy Entrepreneur and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

Your use of our Site or Services
Your violation of these Terms
Your violation of any third-party rights
Any content or information you provide to us
Your use of AI-generated content
Your failure to comply with applicable laws or regulations

13. SMS/Text Messaging Consent

By providing your mobile phone number on any form on our Site, you consent to receive text messages from Wealthy Entrepreneur at the number provided. These messages may include:

Appointment reminders and confirmations
Service updates and notifications
Marketing and promotional messages

Message frequency varies. Message and data rates may apply.

You may opt out of text messages at any time by replying STOP to any message. For help, reply HELP or contact us at info@WealthyEntrepreneur.com.

Your consent to receive text messages is not a condition of purchasing our Services.

14. Third-Party Links and Services

Our Site may contain links to third-party websites or services that are not owned or controlled by Wealthy Entrepreneur. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services.

Our Services integrate with third-party platforms including but not limited to Google Workspace, Stripe, and video hosting services. Your use of these platforms is subject to their respective terms and conditions.

You access third-party websites and services at your own risk and should review their terms and privacy policies before use.

15. Termination

We reserve the right to suspend or terminate your access to our Site or Services at any time, with or without cause, and with or without notice. Grounds for termination may include but are not limited to:

Violation of these Terms
Fraudulent, abusive, or illegal activity
Nonpayment of fees
Conduct that we determine, in our sole discretion, is harmful to other clients, our business, or third parties

Upon termination, your right to use our Site and Services will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, limitations of liability, and indemnification.

What you keep upon termination:

All documents and deliverables provided to you
Your Centralized Brain documents (Intelligence Machine)
Your 12-Month Playbook (Intelligence Machine)
Your Strategic Intelligence Report (Intelligence Brief)

What terminates upon termination or non-renewal:

Access to AI Specialists (Brain Team or Strategic Intelligence Assistant)
Wealthy Collective membership
120-Day Brain Tune-Ups
Story Capture system access

16. Dispute Resolution

16.1 Informal Resolution

Before initiating any formal dispute resolution proceedings, you agree to first contact us at info@WealthyEntrepreneur.com to attempt to resolve the dispute informally. We will attempt to resolve any disputes within thirty (30) days of receiving your notice.

16.2 Binding Arbitration

If we are unable to resolve a dispute informally, any controversy or claim arising out of or relating to these Terms or our Services shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association.

The arbitration shall be conducted in Sheridan, Wyoming, or at another mutually agreed location. The arbitrator’s decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

16.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration against Wealthy Entrepreneur.

16.4 Exceptions

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.

17. Governing Law

These Terms and any disputes arising out of or related to these Terms or our Services shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles.

18. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent.

19. Entire Agreement

These Terms, together with our Privacy Policy, Fulfillment Policy, and Earnings Disclaimer, constitute the entire agreement between you and Wealthy Entrepreneur regarding your use of our Site and Services. These Terms supersede any prior agreements or communications between you and Wealthy Entrepreneur.

20. Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by an authorized representative of Wealthy Entrepreneur.
